Terms of Service

1. Acceptance of these Terms
You accept these Terms by any of the following:
- Creating an OrderBookApp account, whether by email, phone or Google sign-in.
- Accepting an invitation to join an existing business on OrderBookApp.
- Accessing or using any part of the Service after these Terms are posted.
If you do not agree to these Terms, do not use the Service.
1.1 Changes to these Terms
We may modify these Terms. Material changes will be communicated by email to the account owner, by in-app notice, or by posting a new version on this page with an updated "Last updated" date. Continuing to use the Service after a change takes effect constitutes acceptance of the revised Terms.
2. The Service
OrderBookApp is a cloud-based Software-as-a-Service platform that provides:
- Order tracking — orders you place with your vendors and orders you receive from your customers, through the lifecycle Draft → Placed → Confirmed → Dispatched → Delivered → Invoiced → Paid.
- Vendor and customer records — directories, contact details and per-counterparty history.
- Deliveries and goods-receipt notes — partial delivery tracking with optional photos.
- Invoices, payments and statements — logging what is invoiced, what is paid and what is outstanding.
- Team accounts — owner and staff roles within a single business workspace.
- Sharing — WhatsApp click-through sharing and secure, expiring links to purchase orders and statements.
2.1 Changes to the Service
Features may change, be added or be withdrawn as the Service develops. We aim to keep the Service continuously available and to give reasonable notice of material changes, but we do not guarantee uninterrupted availability.
2.2 WhatsApp
WhatsApp sharing works by opening a pre-filled message in WhatsApp on your own device (a wa.me link) — you send it, we do not.
Separately, if you choose to sign in or verify a phone number over WhatsApp, we use Meta's WhatsApp Cloud API to receive the message you send to our business number and to reply to it. We do not read or store any other WhatsApp conversation. OrderBookApp is not affiliated with, endorsed by or sponsored by WhatsApp or Meta, and your use of WhatsApp is governed by WhatsApp's own terms.
3. Accounts and acceptable use
3.1 Your account
To use the Service you must:
- Provide accurate, current and complete information, and keep it up to date.
- Be at least 18 years old and use the Service for business purposes.
- Designate at least one owner for your business workspace.
- Keep your sign-in method and any one-time codes secure.
- Be responsible for everything done under your account and by users you invite.
3.2 Acceptable use
You agree not to:
- Share sign-in credentials between individuals, or use one seat for multiple people.
- Use the Service for any unlawful purpose or to store unlawful content.
- Attempt to access another business's data, or to bypass tenant isolation, rate limits or authentication.
- Interfere with, overload or disrupt the Service or its infrastructure.
- Reverse engineer, decompile or resell the Service.
- Use the WhatsApp sharing or share-link features to send spam or content that violates applicable law or WhatsApp's policies.
3.3 Team members and roles
An owner may invite staff users. The owner is responsible for who they invite, for what those users do, and for removing users who should no longer have access. Roles control what a user can see and do inside your workspace.
4. Plans and fees
OrderBookApp offers a Free plan (one user, unlimited orders, vendors and customers), a Pro plan ($9 per month, one user), a Team plan ($29 per month, up to 5 users) and a Business plan ($79 per month, up to 20 users). Current plans and inclusions are shown on our pricing page. Full billing mechanics — cycles, refunds, cancellation, seat changes — are set out in our Billing & Refund Policy, which forms part of these Terms.
Team and Business include a 30-day free trial that begins when your first staff member joins. No card is required to start a trial and nothing is charged automatically when it ends.
4.1 Payment terms
- Subscriptions are billed in advance and renew automatically until cancelled.
- Payments are processed by Paddle, acting as merchant of record. We never receive or store your card details.
- Prices may be set in your local currency and vary by country.
- Refunds are handled as described in the Billing & Refund Policy.
4.2 Taxes
Listed prices may exclude tax. Any applicable sales tax, VAT or GST is calculated and collected by Paddle based on your billing address at checkout.
5. Your data and security
5.1 Ownership
You retain all ownership rights in the data you enter into OrderBookApp — orders, vendor and customer records, invoices, payments, delivery records and uploaded files ("Customer Data"). You grant us a limited, non-exclusive licence to host, process and display Customer Data solely to operate the Service for you.
5.2 Two-sided orders
An order has two sides. Where your counterparty also uses OrderBookApp, both businesses can see the shared order and its status history. Cost figures and private notes that belong to your side are not exposed to the counterparty.
5.3 Security
We apply, among other measures:
- Encryption in transit over HTTPS/TLS, and encryption at rest by our hosting and storage providers.
- Per-tenant isolation enforced in PostgreSQL with row-level security, not application code alone.
- Session-based authentication with role-based access inside your workspace.
- Expiring, unguessable links for documents shared outside the app.
No method of transmission or storage is completely secure. How we handle personal data is described in our Privacy Policy.
6. Warranties and limitation of liability
To the maximum extent permitted by law:
6.1 No warranty
The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. OrderBookApp is a record-keeping tool; it is not accounting, tax or legal advice, and you remain responsible for the accuracy of your own records.
6.2 Liability cap
Our total aggregate liability for all claims arising from or relating to the Service is limited to the greater of (a) the amount you paid us in the 12 months immediately before the claim, or (b) US $100. Where you use the Service on a free plan, our liability is limited to US $100.
6.3 Excluded damages
We are not liable for:
- Indirect damages, including lost profits, lost revenue or lost data.
- Consequential damages, including business interruption or lost opportunity.
- Punitive, special or incidental damages.
- Losses arising from decisions taken on the basis of data you or your counterparty entered.
7. Termination
7.1 Termination by you
You may stop using the Service and delete your account at any time under Settings → Delete account, or by emailing [email protected]. If you are on a paid plan, cancellation takes effect at the end of your current billing period unless a refund applies under the Billing & Refund Policy.
7.2 Termination by us
We may suspend or terminate access for breach of these Terms, non-payment, or use that threatens the security or integrity of the Service. Where practical we will give notice and an opportunity to resolve the issue first.
7.3 Effect of termination
- Access to the Service ends.
- You may export your data during the 30 days following termination.
- After that period your data may be permanently deleted from our systems.
- Where a counterparty business shares an order with you, their own copy of that record is preserved while your identifying details are removed.
- You remain liable for fees incurred before termination.
8. General
8.1 Governing law
These Terms are governed by the laws of India, where Sevinfi Solutions is established, without regard to conflict-of-law principles. Nothing in these Terms removes consumer protections that apply to you under the mandatory law of your own country of residence. Where your purchase is processed by Paddle as merchant of record, Paddle's own consumer terms also apply to that transaction.
8.2 Entire agreement
These Terms, together with the Privacy Policy and the Billing & Refund Policy, form the entire agreement between you and OrderBookApp regarding the Service and supersede any prior understanding. If any provision is held unenforceable, the rest remains in force.

9. Acknowledgement
By creating an account or using the Service you acknowledge that:
- You have read and understood these Terms.
- You agree to be bound by them.
- You have authority to enter this agreement on behalf of your business.
